TERMS OF SERVICEThis Terms and Conditions of Lease (these “Terms”) governs lease and use of Petrotech Oilfield Solutions Limited products, services and related Services from affiliates and and between Petrotech Oilfield Solutions Limited and the entity or person agreeing to these Terms (“Customer” or “you”.
These Terms are effective when Customer clicks to accept them (the “Effective Date”). If you are accepting on behalf of Customer, you represent and warrant that (i) you have full legal authority to bind Customer to these Terms; (ii) you have read and understand these Terms; and (iii) you agree, on behalf of Customer, to these Terms.
(a) Petrotech Oilfield Solutions Limited shall sell and or lease to Customer and Customer shall exclusively lease or outrightly purchase in the quantities and at the agreed price and upon the terms and conditions set forth in these Terms. Leased Goods shall be the sole and exclusive property of Petrotech Oilfield Solutions Limited during the duration of the lease and Customer shall not have any rights or property interest therein. Upon expiration or termination of these Terms for any reason, Customer shall promptly return, at its own sole expense, the Goods to Petrotech Oilfield Solutions Limited. Petrotech reserves the right to charge a late fee in addition to exercising any other legal right associated with the transaction, which includes but not limited to charging a fee for any lost or damaged Goods.
(b) Invoices shall contain item number and/or description, quantity, and unit price. Buyer shall pay undisputed invoices no later than twenty days from date of the invoices, unless approved by Petrotech Oilfield Solutions Limited in advance. For every quote equal to or above 10,000 US$, Buyer is required to include a 40% downpayment, subject to a lead time equal to or exceeding three (3) months from reception of the Purchase Order to effective delivery. Payments shall be in US Dollars, or as otherwise specified on the invoice. Petrotech Oilfield Solutions Limited will not be responsible for any currency rate changes. Orders that have shipped may not be cancelled or returned
(c) All amounts exclude sales, services, or withholding taxes, or customs duties, and other taxes and charges, insurance, and shipping costs and special packaging requested by Buyer, if any. If any withholding taxes apply, Buyer will gross up the invoiced amount to ensure that, after such withholding, Petrotech Oilfield Solutions Limited receives the full amount invoiced. Buyer will supply Petrotech Oilfield Solutions Limited with an appropriate tax exemption certificate, if Buyer claims exemption from any tax, charge or duty.
(d) Delivery will be Petrotech Oilfield Solutions Limited site, EXW Incoterms 2010. Petrotech will estimate delivery dates and will not be in breach of its obligations, or liable, to Buyer because of any partial delivery or because of any delivery made within a reasonable time after the estimated delivery date. The Items will be delivered for shipment in standard commercial packaging. Special or export packaging may be separately invoiced
All non-public, confidential or proprietary information of Petrotech Oilfield Solutions Limited including, but not limited to, specifications, documents, data, business operations, customer lists, pricing, discounts or rebates, disclosed by Petrotech Oilfield Solutions Limited to Customer, whether disclosed orally or disclosed or accessed in written, electronic or other forms whether or not marked or otherwise identified as “confidential,” concerning these Terms is confidential (“Confidential Information”), solely for the use of performing these Terms and may not be disclosed or copied unless authorized by Petrotech Oilfield Solutions Limited in writing.
PETROTECH OILFIELD SOLUTIONS LIMITED liability to customer and end user relating to any of the offered product and solutions shall not exceed the aggregate amounts paid by customer for such offerings. in no event will PETROTECH OILFIELD SOLUTIONS LIMITED be liable for lost use, profits, revenue, cost of procurement of substitute goods, or any other special, indirect, punitive, exemplary, incidental, or resultant damages, however caused and under any theory of liability. the foregoing limitations shall apply regardless of whether PETROTECH has been advised of the possibility of such damages and notwithstanding the failure of essential purpose of any limited remedy.
Shall mean all the services, product and other business solutions provided by PETROTECH OILFIELD SOLUTIONS LIMITED pursuant to these Terms and in connection with the Goods, including the related services listed in this website, unauthorize use of Petrotech Oilfield Solutions Limited trade and Confidential Product Information shall be considered a breach and met with corresponding legal action.
